Corporate Tax

Our corporate tax practice mainly involves the structuring and negotiation of business transactions such as mergers and acquisitions, spin-offs, internal corporate restructurings, joint ventures, and financings. We also serve as arbitrators and expert witnesses in commercial disputes that involve tax issues and provide specialized consulting services on corporate tax matters for law firms and accounting firms.

Corporate Tax

Our lawyers maintain strong relationships with the IRS and Treasury Officials and Congressional Staffers who are responsible for corporate tax and related matters. On a regular basis, we discuss issues arising in client transactions with Government Officials. We also provide input to Government Officials regarding corporate tax law developments, both directly and through professional and industry groups. We also have a great deal of experience obtaining advance IRS rulings on complex corporate transactions.

Our corporate clients include Fortune 100 and other public companies, as well as closely held companies. Matters on which our corporate tax lawyers have worked in recent years include Union Pacific’s sale of its Overnite trucking business, H.J. Heinz’s spin-off and disposition of Star-Kist, VISA International’s reorganization of its European operations, and the arbitration of a tax dispute arising out of DuPont’s spin-off of Conoco.

As a small, specialty tax firm, we approach corporate tax matters in a somewhat unusual way.

  • Tax work is our sole occupation, not an ancillary or service function. Our relationships with clients depend completely on their continuing satisfaction with our tax work.
  • We maintain alertness on tax planning opportunities, including emerging tax planning ideas. We do not, however, market tax shelter “products” to our clients or to anyone else. Our loyalties are never divided between a client and a promoter.
  • Our experienced lawyers, including our senior partners, do their own client work. Clients receive personal attention from experts.
  • We believe we produce the highest quality work with the efficiency that only small working groups can provide. Although junior lawyers provide assistance, we do not rely on junior lawyers for leverage to pay our overhead or increase our profit margin.

Apart from our client work, we write and lecture extensively in the areas of corporate transactions and business tax issues.
