Eric Solomon and Harrison Richards Teach Tax Executives Tax-Free Reorganization and Spinoff Basics

On February 17 and 18, 2026, IPB partner and former Assistant Secretary for Tax Policy at the US Treasury Department, Eric Solomon, and associate Harrison Richards taught a class on tax-free reorganizations and spinoffs for the Tax Executives Institute. This two-part class covered the basics of acquisitive reorganizations under section 368 and divisive reorganizations under sections 355 and 368. The Tax Executives Institute is an organization that provides educational programming to tax executives from the nation’s leading companies on a wide range of tax issues.
